- The envisaged collaboration itself, could be in the
form of:
- a separate legal entity in the form of partnership
- OR
- a project-wise, profit-sharing agreement
- OR
- an Umbrella Royalty Agreement for a specified
period.

MOU
If TMI and ~~RecruitGuru~~ 3P
agree upon this broad framework and principles governing proposed
collaboration, then they will enter into an MOU to begin the process.
Such an MOU shall contain
specific COMMERCIAL TERMS, in respect of sharing of Sales Revenues or Net
Profits, derived by TMI, through implementation of envisaged projects.

- Several thousand pages of handwritten notes
- Actual Software Codes for portals (after
reviving these on Intranet):

- www.RecruitGuru.com
- www.CustomizeResume.com
- Logic / Paper Write Ups / User Interfaces (all
handwritten) for:

NATURE/SCOPE OF COLLABORATION

- RecruitGuru would make available to TMI, all of its
ONLINE recruitment related Intellectual Properties (IP), for the sole
purpose of developing:
- Job Portals
- Job-related Websites
- Recruitment Software
- Mobile Apps etc.
- Using this IP, TMI will develop above-mentioned
instruments / portals / softwares, in a pre-agreed, time-bound manner.

BACKGROUND
- TMI is in online/offline recruitment business.
- ~~RecruitGuru~~ 3P has, on its own,
developed:
- Job Portals
- Recruitment Software Tools
- Order Execution System (OES)
- Recruitment (Mobile) Apps etc.
- Both, TMI & ~~RecruitGuru~~ 3P would
like to collaborate in Recruitment related areas.

EXCLUSION
- Whereas, RecruitGuru will like to keep out of the
scope of this MOU:
- www.B2BmessageBlaster.com
- www.B2CmessageBlaster.com We are open to have these
included in the scope of envisaged collaboration, if so desired by TMI.
- The following websites will certainly remain
outside the scope:
- www.3pconsultants.co.in
- www.StrategicHR.co.in
- www.hemantparekh.in

- Initially and from time-to-time, TMI may be
required to depute one (or more) of its Software Engineers to
RecruitGuru's office, for varying periods. For all such deputations, TMI
shall bear all the related expenses, such as:
- Transport (Distant & Local)
- Hotel charges etc.
- During such deputations, RecruitGuru will make
available to these engineers, required sitting space / computing resources
/ telephone resources etc., Free-of-cost.

- TMI shall bear all expenses in connection with the:
- Launch Functions
- Publicity / Public Relations
- Media Advertisements (online/offline)
- Press Releases / Announcements etc.
- During all such events, name of RecruitGuru shall
figure prominently as a "Technical Guide & Consultant", in
all publicity materials, whether offline or online.
- RecruitGuru shall not bear any expenses in
connection with such events / advertisements etc.
- On behalf of RecruitGuru, Nirmit will attend all
such events / seminars.

RESOURCE CONTRIBUTION [RC/1]
- On its part, RecruitGuru will make available to
this project, online (Email, Skype etc.) and telephonic guidance and
consultancy by Shri H.C. Parekh.
- On its part, TMI shall:
- allocate the desired no. of S/W engineers for
development purpose.
- allocate the desired no. of sales/marketing people
for promoting.
- allocate necessary H/W and proprietary S/W
resources / Networking resources / Cloud resources / Bandwidth resources
/ Maintenance resources, as required for successful development &
promotional of instruments developed.
- RecruitGuru will not be liable to contribute
monetarily, in any way.
