I draw your attention to

• Our purchase order dt. Aug. 24, 2000
• Our revised purchase order dt. Sept. 14, 2000
• Our purchase order amendment dt. Oct. 23, 2001
• Series of emails sent you re: your failure to design/develop/install and commission an "order execution system" software by Jan 26, 2001, as stipulated in our revised purchase order dt. Sept. 14, 2000.

I wish to re-iterate (what I have repeatedly brought to your notice in my earlier communications) that,

• You have failed to execute our order within the time stipulated in our order (viz. by Jan 26, 2001)
• The software that you have so far developed and installed at our premises is incomplete and full of bugs/ logical errors.
• There is no indication from your end as to when you expect to rectify all the errors and complete the final, satisfactory, fault-free installation/commissioning.

• During the last approx. 11 months of time over run (computed from Jan 26, 2001), we have suffered huge business losses due to non-availability /non-functioning of the order execution system software solution ordered on you.

In light of the foregoing, please treat this letter/email/fax communication as our legal notice demanding that

• You immediately refund to us the monies/amounts paid to you so far for the design/development/installation of the software-solution, ordered on you, but which you have failed to deliver as per specifications/time-frame, stipulated in our purchase order and accepted by you.
• You further immediately compensate us with a sum of Rs. 100 lakhs (Rupees one hundred lakhs), for the business losses suffered by us till date, due to the non-availability/ non-functioning of the Order Execution Software Solution ordered on you.

You are required to make the above mentioned payments to us within ONE WEEK, of this communication, failing which, we reserve the rights to proceed against you and/ or the directors of your organization in a court of law, to legally recover the said amounts.
