Order Execution System Software

I refer to

  • My letter/legal notice, dt. Dec. 21, 2001
  • Mr. Balwant Sharma's visit (along with Neeraj) to our office on Feb. 6, 2002
  • Sanjeev's email to Neeraj/Yogesh dt. April 2, 2002, summarising the latest position as spelled-out in our various emails dated

    • Feb. 5, 2002
    • Feb. 14, 2002
    • Feb. 20, 2002
    • Feb. 22, 2002
    • Feb. 26, 2002
    • March 11, 2002

For your ready reference, I enclose a copy of this summary. From this summary, you will notice that, even as of today, - and despite Mr. Sharma's personal promise made during his visit to our office on Feb. 6 - the Order Execution System Software continues to be defective / dysfunctional / full of bugs.

You will also notice that, all throughout - before and after Mr. Sharma's visit on Feb. 6 - we have been regularly bringing to your notice (thru our emails), various problems / difficulties being faced by us in using this software.

It is now,

14 months since the originally promised delivery / installation / commissioning date of Jan 26, 2001.

Nearly 2 months since Mr. Sharma's personal visit on Feb. 6, when he promised to take care of all the remaining problems "within 2/3 weeks".

We are extremely distressed as a result of your failure to deliver a smoothly / satisfactorily working software till date. As a direct result of your non-delivery, our business has suffered very badly and is continuing to suffer badly. Our business-losses are mounting day-by-day.

Through our letter of Dec. 21, 2001, we have already served on you, our legal notice, demanding that

  • You immediately refund to us the amounts paid to you so far for the development of this software (approx. Rs. 5 lakhs)
  • You further immediately compensate us with a sum of Rs. 100 lakhs (Rupees One Hundred Lakhs) for the business losses suffered by us till Dec. 21, 2001

You were also requested to make the above-mentioned payments to us within ONE WEEK of our said letter dt. Dec. 21, 2001.

You have failed to make the above-mentioned payments to us. You have also failed to rectify the problems of the software.

In light of your failures, we reserve the rights to proceed against you and/or the directors of your Organisation, in a Court of law (including a Consumer Court), to legally recover the above-mentioned amounts. We also reserve our right to serve on your company, a winding-up petition.
